Terms of Service

Welcome to Kedy.AI. These Terms of Service ("Terms") govern your access to and use of Kedy.AI's website and services, including AIShort clip generation, AIDubbing, AI video generation, auto subtitles, translation and the browser-based video editor (together, the "Service"), operated by Kedy.AI ("Kedy.AI", "we", "us" or "our"). By creating an account or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance of these Terms

By accessing or using the Service you confirm that you have read, understood and agree to these Terms, and that you have the authority to enter into this agreement — on your own behalf or on behalf of the organization you represent. If you are using the Service for an organization, "you" includes that organization, and you represent that you are authorized to bind it.

2. The Service

Kedy.AI provides a cloud-based, AI-assisted platform for creating, editing, repurposing and localizing video. This includes automatically generating ranked short-form clips from longer videos, dubbing audio into multiple languages with voice cloning, generating video from a prompt or script, producing and translating subtitles, and editing in the browser. You may use the Service for personal or commercial purposes, provided you comply with these Terms and applicable law. We may add, change, suspend or remove features at any time.

3. Eligibility and accounts

You must be old enough to form a binding contract in your jurisdiction (and at least 13 years old) to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information, to keep it up to date, and to notify us promptly of any unauthorized use of your account. You may not share your account or transfer it to anyone else without our consent.

4. Your content

You retain ownership of the videos, audio, images, text and other materials you upload to the Service ("Your Content"). You grant Kedy.AI a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit and transform Your Content solely as needed to operate and provide the Service to you — for example, to generate clips, subtitles, translations, dubbed audio or generated video. This licence ends when you delete Your Content or close your account, except for content already shared with others or retained as required by law or for backup for a limited period.

You are solely responsible for Your Content and for having all rights, licences and consents necessary to upload it and to use the outputs the Service produces, including any rights in third-party material, music, logos, likenesses or voices contained in it.

5. AI outputs

Subject to these Terms and your compliance with them, the outputs the Service generates from Your Content are yours to use. AI-generated outputs may be imperfect, inaccurate or similar to outputs generated for other users from similar inputs. You are responsible for reviewing outputs before relying on or publishing them, and for ensuring they are lawful and appropriate for your intended use.

6. Acceptable use

You agree not to use the Service to:

• Upload, create or distribute content that is illegal, infringing, defamatory, obscene, hateful or that violates the rights of others.
• Create deceptive, fraudulent, harmful or abusive media, including non-consensual depictions of real people or content intended to mislead.
• Clone a person's voice or likeness without their permission, or impersonate any person or entity.
• Violate intellectual property, privacy, publicity or other rights.
• Upload malware, or attempt to disrupt, overload, reverse-engineer, scrape, or gain unauthorized access to the Service or its infrastructure.
• Circumvent usage limits, security measures or access controls, or resell the Service except as expressly permitted.
• Use the Service in violation of any applicable law, regulation or sanctions.

We may investigate and take appropriate action — including removing content and suspending or terminating accounts — for conduct that violates this section.

7. Third-party content and services

The Service may include, link to, or integrate with third-party content, products or services. We do not endorse and are not responsible for the accuracy, legality or availability of such third-party content, and your use of it is at your own risk and may be subject to separate terms.

8. Plans, credits, billing and refunds

Some features require a paid plan. Paid plans are billed in advance on the cycle you select (for example, monthly or annually) and provide credits, allowances and limits as described on our pricing page. Unless stated otherwise, credits and allowances reset at the start of each cycle and do not roll over. Subscriptions renew automatically at the then-current price until cancelled; you can cancel at any time, effective at the end of the current billing period. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods, unused allowances or features you do not use. We may change prices and plan features with reasonable notice; changes take effect on your next billing cycle.

9. Free plans and trials

We may offer a free plan or trial with limited features, capacity or output quality. We may modify or discontinue free offerings at any time, and we may apply reasonable measures to prevent abuse of free tiers.

10. API and developer use

If you access the Service through our API, you must use credentials securely, comply with documented rate limits and usage requirements, and not use the API in a way that harms the Service or other users. We may modify, throttle or revoke API access to protect the Service. See our API documentation for details.

11. Intellectual property

The Service — including its software, design, text, graphics, logos and branding — is the property of Kedy.AI and its licensors and is protected by intellectual-property and other laws. Except for the limited right to use the Service granted in these Terms, we grant you no rights in our intellectual property. You may not reproduce, distribute, modify or create derivative works of the Service or our content without our prior written consent.

12. Feedback

If you send us suggestions, ideas or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free right to use it without restriction or obligation to you.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use and protect personal data. By using the Service you consent to that processing.

14. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free, that defects will be corrected, or that AI outputs will be accurate, reliable or fit for your purposes. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

15. Limitation of liability

To the maximum extent permitted by law, in no event shall Kedy.AI or its affiliates, officers, employees or suppliers be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, revenue, profits, goodwill or business, arising out of or in connection with your use of (or inability to use) the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of the amounts you paid us for the Service in the twelve (12) months before the claim, or one hundred US dollars (US$100).

16. Indemnification

You agree to defend, indemnify and hold harmless Kedy.AI and its affiliates from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

17. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time — with or without notice — if we believe you have violated these Terms, to comply with law, to protect the Service or other users, or if your account is inactive. Upon termination, your right to use the Service ceases, and we may delete Your Content in accordance with our Privacy Policy. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification and governing law) will survive.

18. Modifications to the Service and these Terms

We reserve the right to modify, suspend or discontinue the Service, or any part of it, at any time. We may also update these Terms from time to time. Material changes will be posted on this page with a new "last updated" date and, where appropriate, communicated to you. By continuing to use the Service after changes take effect, you agree to be bound by the updated Terms.

19. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to its conflict-of-laws rules. Any legal action or proceeding arising out of or in connection with these Terms or the Service shall be brought exclusively in the courts of İstanbul, Türkiye, and you consent to the personal jurisdiction of those courts. Where mandatory consumer-protection laws of your country of residence grant you additional rights, nothing in these Terms limits those rights.

20. Dispute resolution

Before bringing a formal claim, you agree to first contact us at info@kedy.ai and attempt to resolve the dispute informally in good faith. Most concerns can be resolved this way.

21. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, internet or utility failures, or actions of third-party providers.

22. General

These Terms, together with the Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and Kedy.AI regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Headings are for convenience only.
